Board of Directors’ Meeting

Call to Order:  President Edd Burleson called the meeting to order at 7:44 pm. 

Present:  The following Board members were present: 

Edd Burleson, President
Ray Walsh, Vice President
Beth Ferrara, Treasurer
Doug Steinberg, Director
Tim Dineen, Secretary 

Homeowners’ Forum:  A complaint was brought forth by a couple who are homeowners concerning the cutting down of trees by their neighbors which was not sanctioned and which the homeowners feel is a violation of the covenant.  They noted that these same neighbors had cut down some trees two years ago.  The homeowners said that they had then complained to the WPHA Board but that as far as they know nothing came of it.  Board Vice President Ray Walsh responded by acknowledging that this complaint had been received and that the Board will meet in Executive Session to investigate this complaint further and determine what next steps should be taken.  He confirmed that the trees were indeed removed without seeking or gaining the approval of the Architectural Review Committee.

Treasurer’s Report:  Edd Burleson moved to approve the Treasurer’s Report

Officer Reports:  Edd Burleson mentioned that in response to concerns about grass growth getting out of control we will be exploring this issue further, including the possibility of a proxy vote about dealing with it in the future. Ray Walsh brought up the issue of the Beach Road fence.  The wood in some sections of the fence is beginning to rot due to contact with the moisture in the ground.  He notes that we have time before we will have to address this, but he wanted the Board to be aware of a potential problem. Ray Walsh reports that there seems to be renewed interest by the developer of Woodland Pond to see the Homeowners Associations of both Phase 1 and Phase 2 homes coordinate more closely.  The Board is open to hearing specifics before considering any concrete steps in that direction.  Ray notes that there are many complex issues which would need to be resolved.  The process will begin with a financial analysis of both associations. 

The Board discussed the question of the Shoosmith request of Chesterfield County to enable them to alter proffers.  Their management has been making their facility accessible for tours toward that end.  The WPHA Board has not taken a position on this issue.   

Executive Session:  Ray Walsh moved to adjourn to Executive Session for the purpose of exploring further the response to the complaint involving violations of the covenant or rules and regulations. The motion was seconded by Edd Burleson. Motion passed.  Executive Session took approximately one half hour. 

Unfinished Business:  Ray Walsh reported on some technical difficulties moving forward with the proposed survey of residents.  Formats, design, mode of delivery were all issues that need to be addressed.  Beth Ferrara indicated she could provide some help on some of these issues, as did a resident, Jessica Michael, and some Board members. 

New Business:  A decision to seek the advice of counsel concerning options available to the WPHA with regard to the complaint about the unauthorized cutting down of trees was put forth as a motion by Ray Walsh.  Tim Dineen seconded.  Motion passed unanimously.     

Next Board Meeting: The next regular meeting of the Woodland Pond Homeowners Association Board of Directors will take place on 07/19/2010 at 7:30pm, at the WPSRC.


Adjournment:  Edd Burleson moved to adjourn the meeting of the Board of Directors at 9:36 pm.  Motion passed/
